Constitution

awen  is a creative film & media production social enterprise based in West Cornwall.

Aims
The Company’s object is to carry on activities which benefit the community and in particular (without limitation) to

• use media as a tool to engage people in the regeneration of their communities; to raise self-esteem, develop skills and create opportunities in education and employment through participation in initiatives that promote social, cultural and economic development.

• cultivate film & media production as a form of cultural expression, communication and as an intrinsic contributor to the quality of life within local communities.

• encourage film & media production as an educative / learning tool within local communities engendering critical media literacy.

• support and develop collaboration rather than competition; to share contacts, work opportunities, good practice and development opportunities contributing to the cultivation of a sustainable independent media industry in Cornwall.

• endorse an e3 policy (equal opportunities, ethical & environmental)

• inspire and empower communities through the development, production, exhibition & distribution of film & media.

Powers
The Company has the power to do anything which is incidental or conducive to the furtherance of its objects and in particular (without limitation) to:

• instigate and engage in projects which develop sustainable partnerships between creative practitioners, community and youth groups, statutory and voluntary organisations delivering inspirational and empowering experiences through the production and dissemination of high quality moving image & interactive media projects.

• make professional production facilities, advice, training & support available and accessible to community / voluntary, educational and cultural sectors.

• exhibit and distribute film & media products through various means both traditional and innovative. 

• to do all such other lawful things as are necessary for the achievement of the Objects

Profit
awen productions is a “more than profit” social enterprise, supporting & investing in projects which promote social, cultural and economic development.

awen exists for the benefit of the community in Cornwall. The Company  has social objectives and any profits and surpluses will be used to further the objects of the company and be used for community benefit. awen will not maximise profit for any shareholders and/or the owners.

Dissolution.
If the members resolve to dissolve the Company the members must apply any remaining property or money:
    (a)    directly for the Objects;
    (b)    by transfer to any Organisation or charities for purposes the same as or similar to the Company;

In no circumstances shall the net assets of the Company be paid to or distributed among the directors or members of the Company.
